October 1st - Directors’ duties to avoid conflicts of interest now apply (part 10 of the Companies Act 2006). A director must avoid situations in which they have or may have a direct or indirect interest that conflicts or may conflict with the company’s interests.
October 1st - Changes to company names, the Appointment of an independent names adjudicator has now been made and he will be based in the UK Intellectual Property Office which is situated in Newport, South Wales. Companies House will not carry out this function.
October 1st - Removal of the restriction on financial assistance of acquisition of shares in private companies - The restriction, contained within the Companies Act 1985, on financial assistance for the acquisition of shares in private companies has been removed. However the rules will not change for public companies. It is yet to be seen what banking requirements will be following the abolition of the need to “Whitewash” financial assistance however it has been suggested that banks and lenders may require similar procedures and security to those required prior to abolition.
October 1st - Shareholders addresses on the annual return - For private companies all shareholders names will be required to provide their names but not their addresses. A company may submit an annual return made up to date on or after 1st October in order to take advantage of this before their next annual return is due.
October 1st - Sections 642 to 644 of the Companies Act 2006 introduce a new solvency statement procedure for the reduction of share capital in private limited companies. To reduce its share capital a company now needs to provide Companies House with a statement of solvency from all the directors and a member’s resolution (written or special resolution).
October 1st - From now on the accounts of Limited Liability Partnerships will need to reflect the Accounting and Auditing provisions contained within Part 15 of the Companies Act 2006.
