- Under the Companies Act 2006 there is no longer a requirement for private companies to appoint a company secretary; however they must inform Companies House if they do.
- The new provisions relating to “natural directors – not corporates” does not apply to secretaries. Secretaries can still be a corporate body. The Companies Act 2006 (from 1st October 2008) requires all private companies must have at least one director who is a natural person.
- Company secretaries can still be corporate bodies.
